Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Hot Noodle Media, LLC ("we", "us", "our") governing your use of hotnoodlemedia.com and the other websites, forms and services we own and operate (together, the "Services"). Please read section 13, which requires most disputes to be resolved by individual arbitration and waives class actions, and explains how to opt out.
1. Acceptance of these Terms
By accessing or using the Services you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old and legally able to enter into a contract. The Services are intended for users located in the United States. If you access them from elsewhere, you do so on your own initiative and are responsible for compliance with local law.
3. What the Services are, and what they are not
We operate comparison, informational and inquiry websites. We introduce consumers to companies that provide products and services. That is the whole of what we do.
We are not:
- a lender, broker, creditor, debt collector or debt relief provider;
- an insurance company, insurance agency or producer;
- a school, university or accrediting body;
- a contractor, tradesperson, home services provider or installer;
- a travel agency, tour operator, airline or hotel;
- a party to any agreement you enter into with a provider.
We do not decide who is approved, what rate or price you are offered, whether coverage is issued, whether you are admitted, or whether work is performed correctly. We do not endorse or guarantee any provider, and we do not guarantee that you will receive a quote, an offer, a call back, or a particular result. Availability, pricing, terms and eligibility are set by the provider and can change at any time.
4. How we are compensated
We are paid by advertisers, networks and partners. Depending on the arrangement we may be paid when you click a link, when you submit an inquiry, when an inquiry meets an advertiser's criteria, or when you complete a purchase or application.
Compensation may affect which offers we present, where they appear, and in what order. We do not review every company in a given market, and the absence of a company from our sites does not mean anything about that company. The order in which offers appear is not a rating, a ranking of quality, or a recommendation unless we explicitly say so. See our Advertising Disclosure for the full explanation.
5. No professional advice
Content on the Services is general information only. It is not financial, credit, investment, tax, legal, insurance, medical or engineering advice, and it is not a recommendation that any product or provider is right for you. Your situation is specific to you. Consult a qualified professional before acting.
6. Your submissions and the consent you give
By submitting information through the Services you represent that:
- the information is accurate, current and complete;
- it is yours, or you have authority to provide it and to consent on behalf of the person it belongs to;
- the phone number and email address you give are ones you own or are authorized to use.
Where a form asks for your consent to be contacted, the disclosure shown at that form governs. It identifies who may contact you and how. Your consent is not a condition of purchase, and you can withdraw it at any time as described in our Privacy Policy.
You grant us a non-exclusive, worldwide, royalty-free license to use, store, reproduce and transmit what you submit for the purposes disclosed to you and for our internal business purposes, including quality control, fraud prevention and maintaining compliance records. We may retain consent and disclosure records even after you withdraw consent, because we are required to be able to produce them.
7. Acceptable use
You agree not to:
- submit false, stolen, or another person's information, or impersonate anyone;
- use bots, scripts, scrapers, crawlers or other automated means to access, copy or submit to the Services, except for search engine crawlers obeying our robots.txt;
- interfere with, probe, overload or attempt to gain unauthorized access to the Services or any related system;
- circumvent security, rate limits, filters or access controls;
- copy, republish, frame, mirror or resell our content or data without written permission;
- use the Services to send unsolicited communications or to generate traffic through deceptive means;
- use the Services for any unlawful purpose or in violation of any advertising, telemarketing, consumer protection or privacy law.
We may suspend or terminate access, refuse or delete any submission, and take appropriate legal action, at our discretion and without notice.
8. Intellectual property
The Services, including text, design, graphics, logos, code and their selection and arrangement, are owned by Hot Noodle Media, LLC or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to access and use the Services for your own personal, non-commercial use. All rights not expressly granted are reserved. Trademarks of other companies appearing on the Services belong to their owners and are used for identification only, which does not imply any affiliation or endorsement.
9. Third-party sites, providers and content
The Services link to and display content from third parties. We do not control them, we do not endorse them, and we are not responsible for their content, products, services, acts or omissions. Any dealings you have with a third party, including any transaction, dispute, or the terms and privacy practices that apply, are solely between you and that third party.
10. Disclaimer of warranties
THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT INFORMATION ON THEM IS ACCURATE, COMPLETE OR CURRENT. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HOT NOODLE MEDIA, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED US DOLLARS ($100). Some jurisdictions do not allow these limitations, so they may not apply to you.
12. Indemnification
You agree to indemnify, defend and hold harmless Hot Noodle Media, LLC and its members, managers, officers, employees and agents from any claim, demand, loss, liability, damage, cost or expense, including reasonable attorneys' fees, arising out of or related to your use of the Services, your submissions, your breach of these Terms, or your violation of any law or the rights of a third party.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules, and by applicable federal law.
Informal resolution first. Before starting any proceeding, you agree to contact us at legal@hotnoodlemedia.com with a written description of the dispute and the relief you want. We will do the same. We both agree to try in good faith to resolve it for 30 days.
Arbitration. If we cannot resolve it, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. The arbitration will be conducted by written submission, by telephone or video, or in the county where you live, at your election. The arbitrator, and not any court, has authority to resolve disputes about the interpretation or enforceability of this section.
Class action waiver. Disputes will be brought only in an individual capacity. Neither of us may bring or participate in a class, collective, consolidated or representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim will proceed in court and the rest of this section still applies to all other claims.
Your right to opt out of arbitration. You may opt out by emailing legal@hotnoodlemedia.com with your name and the words "Arbitration Opt-Out" within 30 days of first agreeing to these Terms. Opting out has no other effect on your use of the Services. If you opt out, or if this section is held not to apply, disputes will be resolved in the state or federal courts located in Delaware, and we both consent to their jurisdiction and venue.
Time limit. Any claim must be brought within one year after it arises, to the extent permitted by law.
Nothing in this section prevents you from reporting a concern to a government agency or regulator.
14. Changes to the Services and to these Terms
We may modify, suspend or discontinue any part of the Services at any time. We may also update these Terms. The last-updated date at the top of this page reflects the current version. Material changes take effect 30 days after posting, or immediately for new users and for changes required by law. Continuing to use the Services after that means you accept the updated Terms. If you do not accept them, stop using the Services.
15. General
Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder stays in effect.
No waiver. Our failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Services and supersede any prior understanding on that subject.
Notices. We may give notice by posting on the Services or by email. You may give notice to us at legal@hotnoodlemedia.com or at the address below.
